Corporate Paralegal
Position Title: Corporate Paralegal
Reports To: Vice President of Corporate and Legal Affairs
Department: Legal
Status: Exempt
Broad Functions: The Paralegal function is to provide legal support to the legal department and to work on projects by drafting correspondence, agreements, conducting research, organizing and maintaining files, maintaining the corporate books and records of the Company, overseeing corporate licenses and corporate filings with the Secretary of State and other applicable organizations. The paralegal will also manage the corporation’s record keeping and contract management software. In addition, the Paralegal will be responsible for the application and renewal of all restaurant, retail and liquor licenses.
Main Duties and Responsibilities:
1. Obtains work assignments from the Vice President of Corporate and Legal Affairs, the Director of Corporate and Legal Affairs and Corporate Counsel.
2. Oversees and manages company’s nationwide business, health and liquor licenses, including initial application and renewals.
3. Maintains electronic records of all company licenses and government filings.
4. Manages the company’s contract management program.
5. Draft correspondence, review and draft form agreements, create spreadsheets and power point presentations.
6. Maintains the corporation’s filing system, which includes both physical and electronic files.
7. Maintains the corporate books and records and oversee corporate filings with the Secretary of State or other organizations as applicable.
8. Conducts research, gathers files and documents responsive to discovery requests and assists in discovery and case preparation, including document review.
9. Assists in the drafting of legal documents, such as letters of intent, NDAs and contracts.
10. Acts as liaison with designated outside counsel and their paralegal staff.
11. Create and implement processes to streamline the contract management and licensing process.
12. Contribute to the continuous development of legal department’s role within the organization.
13. Contacts court administrators and regulatory bodies as needed to fulfill job assignment.
14. Applies principles of the corporation’s records retention program in developing files and closing of a file.
15. Administrative daily tasks include coordinating conferences and meetings, distribution of mail, filing, and maintaining records.
16. Performs or facilitates minor accounting functions as needed. These may include processing invoices, communicating with vendors to follow up on forms, invoices and billing, preparation of financial monthly provisions for legal department, preparation of reports, etc.
Skills and Qualifications:
1. Paralegal certification by an institution approved by the American Bar Association or equivalent job experience.
2. At least five years of paralegal experience in a corporate legal department.
3. Ability to communicate effectively.
4. Excellent organizational skills.
5. Proficiency in Word, Excel, and Power point.
6. Willingness to work overtime as needs of projects dictate.

While performing the duties of this job, the employee is required to sit for extended periods of time. This position is performed within an office environment whose duties are primarily performed behind a desk. Employees in this position frequently operate a computer, read and write, file and interact with others in person, over the phone, and via other devices. They move about within the office to access file cabinets, documents, office machinery, and other equipment. They may also have to do some light lifting of supplies and materials from time to time. Occasionally move objects weighing up to 20 lbs., and sometimes, but rarely, up to 50 lbs.
